Terms of Service
ClientFoyer is operated by Eric Lottman Jr, doing business as ClientFoyer ("ClientFoyer", "we", "us").
Last updated: October 22, 2026
1. The service
ClientFoyer is a subscription software service for freelancers. It provides branded client portals for project status updates, file sharing, intake forms, invoicing, and testimonials. By creating an account or using ClientFoyer, you agree to these Terms, our Privacy Policy, and the Data Processing Terms in Section 15. If you do not agree, do not use the service.
You must be at least 18 years old and able to form a binding contract to create an account or accept these Terms. The service is a business tool and is not directed to children under 13. You must not permit any person under 13 to submit personal information through the service, including through intake forms or portals.
ClientFoyer is offered only to users located in the United States. If you access it from another country, you do so at your own initiative and are responsible for compliance with local laws.
2. Your account, API keys, and AI agents
You must provide accurate information when you register and keep your credentials secure. You are responsible for all activity under your account, including activity performed through API keys you create and any AI agents or third-party tools you authorize to act on your behalf.
API keys and MCP credentials are confidential and personal to your account. Authorize applications and AI agents only where you direct and supervise them; their actions are your actions. Scope keys to the minimum access needed, and rotate or revoke a key if it is compromised or when an agent is disconnected — you can revoke keys at any time in your account settings. We may rate-limit, restrict, or revoke keys or agent access for security or abuse reasons. We are not responsible for erroneous, incomplete, or unintended actions taken by an agent you authorized, including invoices sent, files shared, or records deleted at its direction.
3. Plans, billing, trials, and renewals
ClientFoyer offers a Free plan and a Pro plan at $19 per month or $190 per year, billed through Stripe.
Automatic renewal. Pro plans renew automatically for the same term (monthly or annual) at the then-current price for that plan until you cancel — except Founding pricing, which we will honor for as long as you keep the qualifying subscription continuously active. By starting a paid plan, or a trial that converts to a paid plan, you expressly consent to these renewal terms and authorize Stripe to charge your payment method on each renewal. Before your first charge we disclose, next to the consent mechanism: the price, the billing interval, that renewals continue until cancelled, and how to cancel. After signup we email an acknowledgment you can keep, repeating those terms and how to cancel, including how to cancel during a trial before any charge.
Trial. The 14-day Pro trial is free and requires no payment card. If you add a payment method and do not cancel before the trial ends, your first charge occurs on the day the trial ends, at the price of the plan you selected ($19 monthly or $190 annual).
Cancelling. You may cancel at any time in Settings, or by emailing [email protected]. Cancellation takes effect at the end of the current billing period; your plan stays active until then and you will not be charged again.
Annual-plan reminder. For annual plans we will email a renewal reminder between 15 and 45 days before the renewal date, stating the renewal date, the amount, and how to cancel.
Price changes. We will notify you in advance of a price change through the contact method associated with your account. For a price increase, we will either obtain your affirmative consent before charging the new price, or allow you to cancel without penalty within 14 days after the first charge at the new price and refund the unused portion pro-rata.
Refunds and taxes. Except as stated above or required by law, payments are non-refundable and there are no refunds for partial periods; we may issue refunds in our discretion. You are responsible for any taxes that apply to your subscription.
4. Your content and your clients
You own the content you and your clients add to ClientFoyer, including project details, status updates, files, invoices, intake responses, and testimonials ("Content").
You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, and display Content solely to provide, secure, and improve the operation of the service for you — including creating backups, generating previews and thumbnails, and scanning for malware and abuse — and, where you make Content public (including testimonials and public portal or invoice pages), to display it as you direct. This license ends when you delete the Content or your account, except for copies retained under our retention schedule (see the Privacy Policy) and copies already shared at your direction.
We will not use your clients' information ("Client Data") to train artificial-intelligence models, and we will not use your or your clients' testimonials, logos, or Content in our own marketing without your separate written consent.
You are responsible for having the rights and consents needed for the content and client information you put into ClientFoyer, and for your own agreements with your clients.
Testimonials. If you submit or display testimonials or reviews through the service, you represent that each is truthful, reflects the author's actual experience, that you have the author's permission to publish it, and that you will disclose any incentive or material connection connected with it. You must not submit, solicit, or display fake reviews, or suppress reviews in a way that misrepresents overall sentiment where you claim to show all reviews. We may remove testimonials that violate this section under Section 6.
Feedback. If you give us suggestions or feedback, we may use them without restriction or payment. Doing so does not transfer any ownership of your Content or your business IP to us.
5. Client payments
Invoices you create in ClientFoyer carry a payment link that you provide. Payments from your clients are processed by your own payment provider under your own account; ClientFoyer is not a party to those transactions and does not process, hold, or take responsibility for funds paid by your clients to you.
6. Acceptable use and enforcement
You agree not to use ClientFoyer to break the law, send spam, infringe anyone's rights, upload malicious code, probe or disrupt the service, or misrepresent your identity or business.
Sensitive data. Do not submit, and do not design intake forms to collect, Social Security numbers, government ID numbers, full payment-card numbers, health information, financial-account credentials, or personal data of children, through the service. We may remove such data and suspend the relevant form or account under this section.
You may not use the service in violation of U.S. sanctions or export-control laws, from a comprehensively sanctioned territory, or on behalf of any person on a U.S. restricted-party list.
Enforcement. We may, at any time and with or without prior notice: remove or disable access to any Content; limit, suspend, or revoke API keys or features; suspend or terminate any account; and report conduct to rights holders or authorities. We will act immediately and without a cure period where we reasonably believe Content or conduct is unlawful, infringing, abusive, a security risk, or harmful to any person or to the service. For other material breaches that are capable of cure, we will give notice and 5 days to cure before terminating. We have no obligation to monitor Content, and failure to enforce any provision is not a waiver.
Copyright repeat-infringer policy. It is our policy, in appropriate circumstances, to terminate the accounts of users who are repeat infringers of copyright, and to terminate or limit access for users about whom we receive repeated credible infringement notices. We maintain records of notices and actions taken under this policy. Our DMCA notice-and-takedown process is described at the DMCA page — clientfoyer.com/dmca.
7. Terms for your clients and visitors
Your clients use portals, intake forms, feedback pages, and invoice links without a ClientFoyer account. The short notice shown on those pages applies to them: the page is provided by you using ClientFoyer; submissions must follow the acceptable-use rules in Section 6; their contract, project, and payment are with you, processed by your payment provider, and ClientFoyer is not a party and does not receive or hold their payment; information they submit is handled as described in the Privacy Policy; and you are responsible for how you use that information.
8. Warranties and liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", AND WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT CONTENT WILL NOT BE LOST (YOU AGREE TO EXPORT AND BACK UP YOUR CONTENT), OR THAT THIRD-PARTY SERVICES (INCLUDING PAYMENT PROCESSORS AND EMAIL PROVIDERS) WILL PERFORM. NOTHING IN THE SERVICE IS LEGAL, TAX, OR ACCOUNTING ADVICE.
We work to keep ClientFoyer available and reliable, and we may improve, change, or discontinue features; if a change materially reduces the service you pay for, we will give reasonable notice.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100.
The foregoing exclusions and cap do not apply to: liability that cannot lawfully be limited; a party's gross negligence or wilful misconduct; or amounts payable under Section 9 (Indemnification).
9. Indemnification
You will defend, indemnify, and hold harmless ClientFoyer and its operator from and against any third-party claims, damages, liabilities, costs, and reasonable attorneys' fees arising from: (a) your Content or Client Data, including claims of infringement, defamation, or violation of privacy or publicity rights; (b) your breach of these Terms; (c) your violation of applicable law, or of any agreement between you and your clients; (d) disputes between you and your clients, including payment disputes; (e) activity through your account, API keys, or AI agents you authorize; and (f) taxes assessed on your business. This section does not require you to indemnify us for claims to the extent finally determined to result from our gross negligence or wilful misconduct. We will give you reasonable notice of a claim, may participate in its defense, and will not settle a claim imposing obligations on you without your consent, not to be unreasonably withheld. Amounts payable under this Section 9 are not subject to the limitation of liability in Section 8.
10. Termination and your data
You may cancel and stop using ClientFoyer at any time. We may suspend or terminate accounts under Section 6. Before you close your account, export your data using the in-app export in Settings — account deletion takes effect immediately and cannot be undone. After account closure we delete your data as described in the Privacy Policy, except records we must or may retain as described there.
11. Dispute resolution — arbitration and class-action waiver
PLEASE READ THIS SECTION CAREFULLY. Disputes between you and ClientFoyer will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable rules (the Consumer Arbitration Rules if you are a consumer, otherwise the Commercial Arbitration Rules), seated in New York, New York (hearings may be held remotely), and not in court — except that either party may bring an individual claim in small-claims court in New York, and either party may seek injunctive relief for infringement or abuse of the service. YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Claims may be brought only in an individual capacity. The arbitrator, not a court, decides arbitrability, except that a court decides the enforceability of this class waiver. If you are a consumer, we will pay arbitration filing and administrative fees exceeding the equivalent court filing fee. You may opt out of this section within 30 days of first accepting these Terms by emailing [email protected] with "Arbitration opt-out" and your account email; opting out does not affect any other provision. If the class waiver is held unenforceable for a claim, that claim must be brought in the state or federal courts located in New York County, New York, and the arbitration agreement is severed as to it.
12. Changes to these Terms
We may update these Terms. If we change them materially, we will notify you by email or in-app at least 15 days before the change takes effect; changes to prices follow Section 3, and changes to Section 11 will not apply to disputes that arose before the change. Continued use after the effective date is acceptance; if you do not agree, cancel before the effective date.
13. General
If any provision is unenforceable, it will be reformed to the minimum extent necessary or severed, and the rest continue in effect. These Terms, the Privacy Policy, and the Data Processing Terms are the entire agreement for the service and supersede prior understandings; in a conflict, the Data Processing Terms control for Client Data, then these Terms. We may assign these Terms, in whole, in connection with incorporation, financing, merger, acquisition, or sale of all or part of the business, on notice to you; you may not assign without our consent. Notices to us: [email protected]. Notices to you: the account email, deemed given when sent. No waiver is effective unless in writing. Neither party is liable for failure or delay caused by events beyond reasonable control (including outages of hosting, payment, or email providers, or government action), except payment for services already provided. These Terms are governed by the laws of the State of New York, USA, without regard to conflicts rules.
14. Contact
Questions about these Terms: [email protected]. Copyright matters: see the DMCA page. Privacy matters: [email protected].
15. Data Processing Terms
The Data Processing Terms at clientfoyer.com/dpa are part of these Terms and govern our processing of Client Data.
